Brewed Awakenings Property and Business: The real property located at 2869 Central Avenue, Olla, LA 71465 (LaSalle Parish), together with the building, improvements, and the ongoing coffee shop business known as Brewed Awakenings, including all equipment, fixtures, inventory (as listed in attached Exhibit A), signage, recipes, trade name, phone number, social media accounts (Facebook, Instagram, TikTok), Square POS system, and goodwill ("the Property and Business"). Recitals: Seller agrees to lease the Property and Business to Buyer with a mandatory obligation for Buyer to purchase at the end of the lease term or earlier. Buyer agrees to lease and must purchase on the terms below. 1. Lease Term The lease term is five (5) years, commencing on January 1, 2026, and ending on December 31, 2030 ("Term"). 2. Rent Monthly rent: $2,300, due on the 1st of each month. Late fee: $50 after the 5th + $10/day thereafter. 3. Purchase Obligation Buyer shall purchase the Property and Business from Seller on or before December 31, 2030 (end of Term) for the total purchase price of $210,000. Buyer may elect to purchase earlier at any time during the Term. At closing (whether at end of Term or earlier), Seller shall deliver clear title via warranty deed. Buyer is responsible for all closing costs, title insurance, and recording fees. 4. Option Fee (Non-Refundable) Buyer shall pay $[e.g., 5,000] upon execution of this Agreement. This fee is non-refundable but shall be credited 100% toward the purchase price. 5. Security Deposit Buyer shall pay a total security deposit of $2,300. To accommodate Buyer, the security deposit shall be paid in two installments: First installment of $1,150 due within the first month of the Term (no later than January 31, 2026) Second installment of $1,150 due anytime during the second month of the Term (no later than February 28, 2026) The full security deposit shall be held by Seller as security for Buyer's performance of lease obligations. The security deposit shall only be applied toward the purchase price at successful closing. If the purchase is completed as required, the full security deposit (less any deductions for unpaid rent, damages beyond normal wear and tear, or improvements) shall be credited toward the purchase price. If Buyer fails to complete the mandatory purchase (absent Seller default), Seller may retain the security deposit as additional liquidated damages. 6. Maintenance, Operations, and Expenses Buyer is solely responsible for all operating expenses of the Property and Business, including but not limited to: Utilities (electricity, water, sewer, gas, trash, internet, telephone, lawn care) Interior and exterior maintenance and repairs Property taxes Business insurance Compliance with all applicable laws and regulations 7. Default and Remedies If Buyer defaults on rent (more than 15 days past due) or any other lease covenant, Seller may pursue eviction and/or damages, but such default shall NOT release or indemnify Buyer from the mandatory purchase obligation. Buyer remains fully liable to complete the purchase on the terms herein. Beyond the 1st month, lease payments not paid by the 5th will be added a $50 late fee and $10/day charge until balance completely paid in full. In the event Buyer breaches this Agreement by failing to complete the mandatory purchase by December 31, 2030 (absent Seller default), or by otherwise breaching the lease or purchase obligations, Buyer agrees to pay Seller agreed liquidated damages in the amount of $50,000 (the "Agreed Performance Fee") in addition to any other remedies available to Seller. This Agreed Performance Fee represents the parties' reasonable estimate of Seller's damages (including lost opportunity, carrying costs, attorney fees and re-marketing expenses) and is not a penalty. Seller may, at its election: Declare the entire remaining purchase balance immediately due; Retain all payments made (including security deposit, and rent paid) as partial liquidated damages; Collect the $50,000 Agreed Performance Fee; and/or Seek specific performance to compel the sale. If Seller defaults, Buyer may seek specific performance or damages. 8. Included Items All equipment, fixtures, starting inventory, branding, social media accounts, Sam's Club membership, POS system, recipes, and goodwill transfer at closing. 9. Governing Law and Recordation This Agreement shall be governed by Louisiana law. Venue: LaSalle Parish. The parties agree to execute and record a Memorandum of this Agreement in the LaSalle Parish public records. 10. Entire Agreement This document constitutes the entire agreement. Any amendments must be in writing and signed by both parties.
